Job Title: Legal Counsel – Mergers & Acquisitions (M&A)

Our client is a prominent organisation in the renewable energy sector, specializing in the development and implementation of sustainable energy solutions, including solar, wind, and hydroelectric power.

Position Summary:

My client is seeking an experienced Legal Counsel specialising in Mergers & Acquisitions (M&A) to join their dynamic legal team. The ideal candidate will have a strong background in corporate law, particularly in M&A transactions, and will provide strategic legal advice to support their business objectives.

Key Responsibilities:

• Lead and manage M&A transactions, including due diligence, contract negotiation, and documentation, while drafting and reviewing acquisition agreements, disclosures, and related legal documents.
• Lead on structuring of spv’s and other legal / financial mechanisms for the effective management of assets, subsidiaries and joint ventures.
• Be the company subject matter expert related to legal and regulatory topics including advising executive management about potential impacts of upcoming changes.
• Take a influential position on topics related to legal, corporate governance, regulatory compliance, and risk management, and tax.
• Coordinate with cross-functional teams, including legal, finance, operations, and procurement etc related to M&A and ongoing structuring activities.
• Provide training and guidance to internal stakeholders on M&A processes and compliance requirements while developing and implementing internal policies and procedures related to M&A.
• Progression to Principle Legal Counsel in two years.

Qualifications:

• 2+ years of experience in corporate law, with a focus on M&A transactions.
• Strong knowledge of corporate governance, regulatory requirements, and M&A best practices.
• Excellent negotiation, drafting, and communication skills.
• Ability to manage multiple projects and deadlines in a fast-paced environment.
• Experience in structuring contracts (Spv’s and joint venture agreements etc)
